What YFP Health Provides
YFP Health provides a private wellness marketplace and technology platform through which eligible members of participating fitness organizations, membership communities, employers, associations, and other organizations (“Partner Organizations”) may discover and access wellness products, educational resources, and services offered by independent third parties.

Offerings may include telehealth programs, weight-management and GLP-1 programs, women’s wellness services, hormone-health services, fitness and longevity programs, supplements, testing, wellness products, and other curated offerings. Available products and services may change at any time and may vary based on your location, age, eligibility, membership, and the requirements of the applicable provider or vendor.

Unless expressly stated otherwise, YFP Health is not the seller, manufacturer, laboratory, pharmacy, medical group, or healthcare provider responsible for a third-party product or service.

Certain areas or offerings may be available only to eligible members of a Partner Organization. You may be asked to use a membership code, invitation link, email address, or other method to verify eligibility.

You agree to provide accurate, current, and complete information and not to share a private access code or account credentials with anyone who is not eligible. Access through a Partner Organization does not guarantee that you qualify for any particular product, prescription, treatment, or service.

You must be at least 18 years old to create an account, make a purchase, or request clinical services through the Site, unless the applicable provider expressly permits otherwise and obtains any legally required consent from a parent or guardian. Public informational portions of the Site may be viewed by younger visitors only with the involvement of a parent or legal guardian.

3. Important Medical Disclaimer

YFP Health does not practice medicine and does not provide medical advice, diagnosis, treatment, prescriptions, or emergency services. Content on the Site is provided for general informational and educational purposes only. It is not a substitute for advice from a qualified healthcare professional who knows your individual medical history.

Do not disregard or delay professional medical advice because of information on the Site. If you believe you are experiencing a medical emergency, call 911 or seek immediate emergency care.

No information on the Site guarantees that a product, medication, program, or service is safe, appropriate, effective, or available for you. Individual results vary.

4. Independent Telehealth Providers

Clinical services made accessible through the Site are provided by independent licensed healthcare professionals, medical groups, pharmacies, laboratories, and other clinical entities (“Clinical Providers”). Clinical Providers—not YFP Health—are solely responsible for evaluating patients, determining medical necessity, diagnosing conditions, ordering tests, recommending treatment, prescribing medication, monitoring care, and complying with professional standards and applicable healthcare laws.

Your relationship with a Clinical Provider is separate from your relationship with YFP Health. Before receiving clinical services, you may be required to agree to additional terms, telehealth consents, financial policies, privacy notices, and other documents supplied by the Clinical Provider. If these Terms conflict with a Clinical Provider’s terms regarding clinical care, the Clinical Provider’s terms control for that care.

YFP Health does not direct or control the independent medical judgment of any Clinical Provider. Submission of an intake form, payment, or request for treatment does not guarantee that you will receive a prescription or qualify for a particular program. A Clinical Provider may decline, change, or discontinue treatment when clinically appropriate.

5. Prescriptions, Pharmacies, and Compounded Medications

Prescription medications are available only when prescribed by an appropriately licensed healthcare professional following an evaluation and only where permitted by law. Prescriptions may be filled by independent licensed pharmacies. YFP Health does not dispense medications and does not guarantee that a medication will be prescribed, filled, shipped, covered, or continuously available.

Medication names, descriptions, photographs, pricing, and program information are not an offer to prescribe or sell a prescription drug without an appropriate clinical evaluation.

If a program includes a compounded medication, you will receive additional information from the applicable Clinical Provider or pharmacy. Compounded drugs are not FDA-approved, and the FDA does not verify their safety, effectiveness, or quality before they are marketed. Ask the prescribing clinician or dispensing pharmacy any questions you have before beginning treatment.

You agree to use any medication only as directed by your prescribing clinician and not to share, transfer, resell, or misuse it.

 

6. Not Health Insurance

YFP Health is not a health plan or insurer. Unless expressly stated otherwise, products and services offered through the Site are not insurance benefits and are not a substitute for comprehensive health insurance. Coverage and reimbursement depend on your insurance plan, if any. You are responsible for confirming coverage directly with your insurer.

 

7. Partner Organization Financial Relationship

A Partner Organization may receive compensation or a share of revenue from certain purchases made by eligible members who access YFP Health through that organization. This creates a financial relationship between YFP Health and the Partner Organization.

Partner Organizations are not healthcare providers merely because they make YFP Health available to members, and they do not make prescribing or treatment decisions. You should evaluate products and services based on your own needs and the advice of qualified professionals.

8. Third-Party Products and Marketplace Vendors

Products sold or fulfilled through the Site may be supplied by independent manufacturers, distributors, merchants, or service providers (“Marketplace Vendors”). Marketplace Vendors are responsible for their product descriptions, warranties, fulfillment, shipping, safety instructions, regulatory compliance, customer service, and return or refund policies.

YFP Health’s selection, display, or description of a product or vendor does not constitute a medical recommendation or guarantee. Product availability, packaging, ingredients, specifications, and pricing may change. Always review the label, warnings, directions, ingredients, and vendor terms before using a product.

To the extent permitted by law, any manufacturer or vendor warranty is provided solely by that manufacturer or vendor.

9. Accounts and Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You agree to notify us promptly if you suspect unauthorized access or use.

You may not impersonate another person, create an account using false information, use another person’s membership eligibility, or attempt to access restricted areas without authorization. We may require identity or eligibility verification and may suspend access while reviewing suspected misuse.

10. Prices, Orders, and Payment

Prices, program inclusions, billing frequency, shipping costs, taxes, and other charges will be disclosed at or before checkout. Prices may change prospectively at any time. An order is not accepted until the applicable seller or provider confirms it.

You authorize YFP Health, the applicable provider or vendor, and their payment processors to charge the payment method you provide for amounts disclosed at checkout. You represent that you are authorized to use that payment method.

We may correct pricing or description errors, reject or cancel orders, limit quantities, request additional verification, or take steps reasonably necessary to prevent fraud or misuse. If a confirmed order is canceled after payment, the responsible seller will issue any refund required by law or its applicable policy.

11. Subscriptions and Recurring Charges

Some programs or products may be offered on a subscription or recurring basis. Before you enroll, the checkout page or provider terms will disclose the amount and frequency of recurring charges, the length of any trial or introductory period, and how to cancel.

By enrolling in a recurring offering, you authorize the identified seller or provider to charge your selected payment method at the disclosed intervals until you cancel. Cancellation will take effect according to the policy shown when you enrolled. Canceling a subscription does not automatically refund charges already incurred, except where required by law or expressly provided by the applicable cancellation policy.

12. Shipping, Cancellations, Returns, and Refunds

Shipping estimates are not guarantees. Delays may occur because of inventory, carrier performance, weather, legal requirements, clinical review, prescription processing, or other circumstances outside YFP Health’s control.

The cancellation, return, and refund policy presented by the applicable Clinical Provider, pharmacy, or Marketplace Vendor at or before purchase governs that transaction. Certain items—including prescription medications, customized products, laboratory services already performed, opened consumable products, and services already rendered—may be nonreturnable or nonrefundable where permitted by law.

13. Privacy and Health Information

Our collection and use of personal information are described in our Privacy Policy. Clinical Providers, pharmacies, laboratories, and Marketplace Vendors may maintain separate privacy policies and, when applicable, Notices of Privacy Practices describing how they use and disclose health information.

HIPAA does not necessarily apply to all information collected through a consumer website, wellness marketplace, or application. Do not assume that every communication or data field on the Site is protected health information under HIPAA. Review the Privacy Policy and the privacy notices of the provider or vendor receiving your information.

14. Electronic Communications

You consent to receive transaction-related communications electronically, including account notices, receipts, order updates, program information, and legally required disclosures. You may retain electronic copies for your records.

Marketing emails may be discontinued using the unsubscribe link in the message. If you separately consent to receive text messages, the terms presented with that consent will apply. Consent to marketing communications is not a condition of purchasing a product or service unless clearly stated and legally permitted.

15. Acceptable Use

You may use the Site only for lawful, personal purposes. You may not:

• violate any law or another person’s rights;

• provide false, misleading, or fraudulent information;

• misuse membership codes, discounts, prescriptions, or eligibility credentials;

• copy, scrape, harvest, reverse engineer, probe, disrupt, or interfere with the Site;

• upload malicious code or attempt to bypass security controls;

• use automated tools to access the Site without our written permission;

• resell or commercially exploit Site content, products, access, or services without authorization; or

• use the Site in a way that could harm YFP Health, a Partner Organization, a provider, a vendor, or another user.
   

16. Intellectual Property

The Site and its content—including text, graphics, logos, icons, photographs, videos, software, design, and arrangement—are owned by or licensed to YFP Health and are protected by intellectual-property laws. Subject to these Terms, YFP Health grants you a limited, personal, nonexclusive, nontransferable, revocable license to access and use the Site for its intended purpose.

No rights are granted except as expressly stated. You may not reproduce, modify, distribute, sell, license, publicly display, create derivative works from, or commercially use Site content without written permission from the applicable rights holder.
 

17. Third-Party Links and Services

The Site may link to or integrate with websites, portals, payment processors, telehealth platforms, pharmacies, laboratories, and services operated by third parties. YFP Health does not control those third parties and is not responsible for their content, availability, security, privacy practices, or performance. Your use of a third-party service is governed by that party’s terms and policies.
 

18. Suspension and Termination

We may restrict, suspend, or terminate access to the Site if we reasonably believe you have violated these Terms, created legal or security risk, misused a private membership benefit, or engaged in fraudulent or harmful activity. We may also discontinue or modify all or part of the Site at any time.

Provisions that by their nature should survive termination—including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions—will survive.
 

19. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL INFORMATION MADE AVAILABLE THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YFP HEALTH DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

YFP HEALTH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE; THAT CONTENT WILL BE COMPLETE, CURRENT, OR ACCURATE; THAT ANY PRODUCT OR SERVICE WILL MEET YOUR NEEDS; OR THAT ANY PARTICULAR HEALTH, FITNESS, WELLNESS, OR COMMERCIAL RESULT WILL OCCUR.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LEGALLY BE EXCLUDED.
 

20. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YFP HEALTH AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY; OR DAMAGES ARISING FROM THIRD-PARTY PRODUCTS, CLINICAL CARE, PHARMACY SERVICES, SHIPPING, OR VENDOR CONDUCT.

TO THE FULLEST EXTENT PERMITTED BY LAW, YFP HEALTH’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO YFP HEALTH DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These limitations do not apply to liability that cannot legally be limited or excluded. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
 

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless YFP Health and its owners, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of the Site, your material violation of these Terms, your infringement of another person’s rights, or fraudulent information or conduct attributable to you.
 

22. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any legal action arising from these Terms or the Site must be brought in the state or federal courts located in Texas, and each party consents to the jurisdiction and venue of those courts, except where applicable law gives a consumer the right to bring a claim elsewhere.
 

23. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on the Site and update the Effective Date. If changes are material, we may provide additional notice as required by law. Your continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms.
 

24. General Terms

These Terms, together with the Privacy Policy and any additional terms presented for a specific product or service, constitute the agreement between you and YFP Health concerning the Site. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or operation of the Site.
